Job description
The main purpose of this role is to provide independent assurance regarding the effectiveness of franchise governance, risk management and controls in each jurisdiction in which Citi operates. The Citi Country Officer (CCO) is the ?face? of Citi in each Citi presence country. The CCO represents Citi as a whole, rather than in any particular business or product, and works together with all other local Citi executives to ensure the protection and growth of Citi's country franchise.
The CCO presents a single, coordinated face to the local marketplace including government, regulators, clients, media, community and employees. Citi depends on the CCO for the continued success and future growth of our country franchise. The CCO role combines the complex challenges of balancing stewardship with dynamic franchise leadership. The Director ? Franchise Governance will be responsible for providing assurance on the effectiveness of CCO's framework and activities to meet the responsibilities and desired outcomes of the CCO role. *Background to Franchise Governance, Management and the CCO* *Key Responsibilities CCO:* All CCOs have two main responsibilities: Franchise Governance and Franchise Management: * Franchise Governance includes responsibility for the governance and the protection of Citi's franchise and reputation in the country. Successful Franchise Governance is the unvarying critical responsibility of all CCOs across all countries. Successful Franchise Governance is our ?driver's license?, without it we cannot run and grow our franchise. * Franchise Management includes responsibility for executing the overall strategy of the franchise to achieve the short and long term goals of the Citi franchise in that country. CCOs help drive the growth of the overall Citi franchise and may also have varying degrees of direct accountability for specific areas of the business. CCOs' roles as regards Franchise Management vary from country-to-country. However, when franchise-related issues arise within a country, all business managers and function heads in the country will work under the CCO's direction to resolve the issues.

The CCO is accountable for escalating any franchise-related issues to the Regional CEOs and International Franchise Management in New York. *IA Franchise Governance Key Responsibilities:* The Director of Franchise Governance Asia Pacific will be responsible for designing and effecting a program of assurance and an audit plan to provide assurance on the design and operating effectiveness of the CCO to meet the CCO Franchise Governance Objectives: Every CCO has direct responsibility for all local regulatory relationships, country risk management, internal controls and corporate governance, including: * Act as the lead contact with regulators for all businesses * Ensure compliance with all laws, regulations, and Citi policies, including ethics and business practice * Ensure compliance with all sovereign and portfolio limits * Manage reporting and tracking of legal entities in-country * Develop and implement Regulatory Exam programs, Internal Audit Programs, Risk and Control Self-Assessments (RCSA) ? to include ensuring the country Regulatory Plan is current and effective * Chair the country's Asset and Liability Committee (ALCO) * Chair the country's Anti-Money Laundering Committee (AML) * Chair the Country Coordinating Committee (CCC) * Chair the Country Business Risk, Compliance, and Control Committee (BRCC) * If there is a Board of Directors, ensure that proper management of the Board takes place to include effective working relationships and clear directional understanding with all directors, but in particular with Non-Executive Directors (NEDs) * Assess overall country risk working with the Country Risk Committee * Ensure fair and equitable internal policies and practice including human resources, finance, legal and compliance * Ensure that effective escalation procedures are implemented in all businesses and functions and escalate franchise issues to the Regional CEOs and to International Franchise Management levels, as appropriate *Safety and Soundness:* Every CCO is accountable for the protection of Citi's franchise, reputation, premises and people. * Direct responsibility for crisis management including decision making, escalation, and communications; during a crisis, maintain the right level of communication with the right people including keeping the Regional CEO fully in the loop * Ensure the country Continuity of Business Plan (COB) is current and vibrant * Responsible for the planning, maintenance and security of the physical premises *Franchise Management:* The Director of Franchise Governance Asia Pacific will be responsible for designing and effecting a program of assurance and an audit plan to provide assurance on the design and operating effectiveness of the CCO to meet the CCO Franchise Growth/Stewardship objectives: * Every CCO is responsible for providing a single coordinated face to the local marketplace ? One Citi Leadership. Additionally, every CCO is responsible for presenting a consolidated budget, annual business plan and strategic plan for their country. * CCOs are responsible for knowing and understanding the overall performance of business and functions, facilitating cross business dialogue and opportunities and for senior client representation. The degree of business and client involvement each CCO has will vary by country. All CCOs have direct accountability for Public Sector business development and in addition some CCOs will have direct responsibility for one or more of the business lines in their country. Franchise Management responsibilities include: * Coordinate country business plans, strategic priorities and acquisitions * Identify and pursue cross-marketing opportunities * Senior client representation * Leader of Public Sector Business, including responsibility for full P&L, business development and client relationships * Monitor competitor strengths and strategies, and objectively understand the position of Citi in the local market * Consolidate and be accountable for country financial reporting and budget, including regulatory reporting, local accounting, tax accounting and country financial reporting and budget * Provide integrated country business and risk profiles and plans to senior management * Cross-Business/Function issue management (e.g., Transfer Pricing Transparency) * Oversee public affairs and community programs * Primary external spokesperson for Citi in country and responsible for all media relations and marketing and communication strategies * Responsible for employee wide communication within country * Responsible for the country's Voice of the Employee (VOE) results and action plans and for monitoring and acting upon employee feedback * Oversee, in partnership with HR, franchise-wide talent review and development activities including succession, recruiting and training * Ensure all functions and businesses in country have succession plans which are reviewed at least annually and include a focus on developing a pipeline of local talent * Partner with regional business and function executives on goals, performance review and compensation of country business and functional heads * Accountable for direct management, including goals, performance evaluation and compensation, of functional and business heads as designated * Ensure there is a coordinated and effective external recruiting program with universities, schools, etc. to ensure that Citi is bringing in top entry level talent for the local franchise * Manage Citi Alumni network and activities in country The Director of Franchise Governance Asia Pacific will be responsible for delivering audit reports in respect of each jurisdiction in which Citi has a presence, in accordance with a risk-based audit plan developed and delivered in accordance with the Internal Audit risk-based methodology. The Director of Franchise Governance Asia Pacific will be responsible for managing a team of Franchise Governance team auditors supplemented by other Internal Audit personnel on a project-based secondment to a Franchise Governance audit and by guest-auditors drawn from the CCOs and control functions. * Degree level education (or equivalent) * Professional qualification (Chartered Accountant or equivalent certification) preferred * Significant experience with leadership responsibility in Internal Audit or Risk/Control functions with large scale Financial Services companies * Employs subject matter expertise of diversified financial services industry products and delivery channels, organization design and operating models * Possesses strong data analysis and/or technical skills to analyze complex business data utilizing automated tools and help identify potential control issues and emerging risks * Sound judgement and decision making skills ? able to analyze complex situations and problems, and to provide creative, value-added advice in areas of expertise and audit coverage * Strong communication skills, both verbal and written, to be able to interact confidently with IA peers, stakeholders and regulators * Ability to manage conflict, work under pressure, and work proactively without close supervision * Strong team leader and player, able to build and leverage relationships across the organization * Project and results management skills ? able to define and execute on goals in accordance with IA quality, time and budgetary standards * Experience working in a global, matrixed environment; sensitivity to cultural differences * Experience/knowledge of working in a control function in financial services is a plus * Ability to work well under time pressure * Problem solving and root cause analysis skills * Strong analytical and decision making abilities * Exceptional communication skills ? both written and verbal; active listening skills * Strong interpersonal skills with ability to influence by adopting a range of styles and techniques appropriate to the audience and objective * Ability to build and maintain effective working relationships with people at all levels of seniority * Able to work effectively at all levels in an organisation * Willingness to travel internationally (up to 40%) for purposes of performing audits across Citi's international network
